Summary
08 Characteristics of the crypto-asset The EVERYTHING (EV) token is an ERC-20 utility token operating on the Ethereum blockchain, classified as a crypto-asset other than an asset-referenced token or e-money token under MiCAR. EV tokens do not confer any ownership, equity interests, profit-sharing rights, or legal claims against the issuer. Instead, they provide protocol-level utility within the Everything ecosystem, granting holders the right to participate in DAO governance, stake tokens for rewards, and access platform features such as paying for AI tools or publishing lending offers. Holders may exercise these rights technically by interacting with the protocol's smart contracts on-chain. The issuer cannot unilaterally modify these rights and obligations; because Everything is a decentralized protocol, any changes to the token's functionalities or network rules must be enacted through DAO governance votes and subsequent protocol upgrades.
09 Further information about utility tokens The EV token provides access to goods and services within the decentralized Everything DeFi ecosystem. Its primary functionalities include platform utility, where users can spend EV tokens to access the Eva AI tools and related terminal or subscription features, publish P2P lending offers, and, in the future, mint USDN tokens. Additionally, the token allows holders to participate in DAO governance by voting on protocol parameter optimizations, and enables staking and liquidity provision to earn EV ecosystem rewards. The total number of offered tokens is 100 billion EV. While there are no transfer restrictions at the protocol level, the token's immediate transferability is restricted for allocations to investors, exchanges, and market makers through contractual lock-ups and vesting schedules ranging from 6 to 48 months. Furthermore, transferability may be restricted by individual trading platforms through geo-fencing for users in OFAC-sanctioned jurisdictions or individuals otherwise prohibited under platform terms and applicable laws.
10 Key information about the offer to the public or admission to trading

No offer of EVERYTHING (EV) tokens is being made to the public in connection with this disclosure. Because the token is already in circulation, this document does not represent a new issuance, public offering, or fundraising event. Accordingly, there are no target subscription goals, issue prices, or subscription periods applicable. EVERYTHING (EV) tokens are being admitted to trading on the Bitpanda, Bitvavo, and Kraken trading platforms. Admission to trading is being sought to increase accessibility for European users, improve token liquidity on secondary markets, enhance regulatory transparency, and support broader participation within the Everything ecosystem.

D.4Crypto-asset project description

Everything delivers a DeFi-first platform: a unified liquidity architecture designed to power all core DeFi activities in one place.

Unlike traditional protocols that rely on external price feeds (known as “oracles”), Everything uses an internal pricing system based on real trading activity. This removes delays and reduces the risk of price manipulation.

The platform also uses a “tick-based” model, meaning liquidity is allocated at specific price levels rather than spread inefficiently. This allows capital to be used more precisely and avoids funds sitting idle.

As a result, Everything achieves high capital efficiency: user funds are constantly active and can generate yield simultaneously from multiple sources, such as trading fees, lending interest, and margin activity.

By removing fragmentation between different protocols, Everything enables users to access all major DeFi functions, such as swapping, lending, borrowing, and trading, through a single liquidity pool and one smart contract.

This approach simplifies the user experience while maximizing the productivity of capital, offering a more efficient and integrated alternative to today’s DeFi landscape.

Holding EV does not represent ownership in any legal entity and does not confer any right to financial returns.

G.2Exercise of rights and obligations

There are no formal contractual rights to "exercise." Any functionality associated with EV is exercised technically by interacting with the Everything protocol's smart contracts.

For example:

  • Governance: Rights are exercised by using EV tokens in the DAO governance process to vote on protocol parameter optimizations .
  • Utility: Rights are exercised by submitting a transaction that uses EV as payment for AI tools, to publish a lending offer on the platform, or to mint USDN once that feature is enabled.

These actions are carried out on-chain and are validated by the decentralized network, not by RA2 Tech SA. Procedures are defined in the project's public documentation (e.g., https://everything.inc/ and https://smardex.io/p2p/market).

G.3Conditions for modifications of rights and obligations

RA2 TECH SA cannot unilaterally modify the token's functionalities. As Everything is a decentralized protocol, any changes to the token's utility or the network's rules are subject to the project's established governance process.

Modifications occur through protocol upgrades or DAO governance proposals, which must be voted on through the project’s governance process and implemented at the smart-contract level. Everything is fully on-chain, permissionless, and governed entirely by code..

Part H - Information on the underlying technology

No. Field Content
H.1Distributed ledger technology (DTL)
N/A, a Digital Token Identifier is provided in F.13
H.2Protocols and technical standards

EV is a ERC-20 token. This standard ensures industry compatibility with wallets, exchanges, and smart contracts. The Ethereum network itself is a public, permissionless, decentralized blockchain that utilizes a Proof-of-Stake consensus mechanism for its operations.

H.3Technology used

As a ERC-20 token, EV is deployed as a smart contract. Users can hold, store, and transfer the token using any wallet software (non-custodial or self-custody) that is compatible with the Ethereum network. Users may also manage the token through accounts provided by third-party custodians or centralized exchanges.

H.4Consensus mechanism

The Ethereum network, which EV relies on, operates using a Proof-of-Stake consensus mechanism.

In this system, validators are chosen to create new blocks and validate transactions based on the amount of native tokens (ETH) they have staked as collateral.

H.5Incentive mechanisms and applicable fees

The Liquidity providers and users who stake EV are rewarded with economic incentives for their participation. These incentives consist of EV tokens. Some fees are applicable to the use of the ecosystem that are collected for the benefit of these mechanisms. The fee's percentages are decided by the DAO.

I.3Crypto-assets-related risks

Holding EV involves risks inherent to most crypto-assets:

  • Market Volatility: Crypto-asset prices are extremely volatile and subject to significant, rapid fluctuations. The value of EV can be influenced by market speculation, shifts in sentiment, and macroeconomic factors, and may not reflect the project's fundamentals. There is no guaranteed price floor, buyback or redeemability mechanism, which means that acquiring the EV may result in total loss of the invested amounts.
  • Liquidity Risk: The market for EV may lack depth and liquidity. It may be difficult to buy or sell large quantities at a desired price, or at all, leading to significant financial losses.
  • Custody & Private Key Risk: Holders are responsible for securing the private keys to their wallets. The loss, theft, or compromise of these keys will result in the irreversible loss of all associated EV tokens, with no recourse.
  • Regulatory Risk: The legal and regulatory treatment of crypto-assets is uncertain and evolving. Future regulations could impose restrictions on the holding, use, or trading of EV, or it could be classified in a way that adversely affects its value or legality.
  • Utility Risk: The expected utility of the EV token within the Everything ecosystem may fail to materialize due to low user adoption, technical failures, or superior competing projects, undermining its fundamental value proposition.
I.4Project implementation-related risks

The future success of the EVERYTHING ecosystem is subject to significant implementation risks:

  • Adoption & Competition Risk: The project may fail to attract a sufficient number of users, developers, and participants to create a viable ecosystem. It faces competition from other projects that may have substantially greater financial, technical, and marketing resources.
  • Roadmap & Development Risk: The project may experience delays, fail to deliver on its published roadmap, or encounter unforeseen technical complexities. Strategic shifts or "pivots" may result in features that do not align with community expectations.
  • Funding & Treasury Risk: Continued development depends on the effective management of the project's treasury. A shortfall in funding or misallocation of resources could slow or halt ecosystem development.
  • Governance Risk: For decentralized projects, governance "deadlock" or misalignment of incentives among participants can impede critical network upgrades and strategic decisions.
I.5Technology-related risks

The EV token and Everything platform rely on complex, emerging technology, which introduces specific risks:

  • Smart Contract Risk: The smart contracts for EV and the ecosystem's applications, despite audits, may contain hidden bugs, flaws, or vulnerabilities. Such flaws could be exploited by malicious actors, potentially resulting in the theft or irreversible loss of funds.
  • Underlying DLT Risk: The project relies on the security and performance of the underlying Ethereum network. This network is subject to its own risks, such as network congestion, high transaction fees, consensus failures (e.g., 51% attacks), forks, or operational halts. Execution of transactions requires gas fees, which are subject to market conditions and may fluctuate during periods of high activity. Users who interact with EV via decentralized exchanges (DEXs) may face exposure to front-running or Maximal Extractable Value (MEV), where third parties reorder or insert transactions for their advantage.
  • Cybersecurity Risk: The ecosystem, including its protocols, bridges, and front-end applications, is a target for cyber-attacks (e.g., DDoS attacks, hacks). A successful attack could disrupt services or lead to a loss of user assets.
  • Bridge Risk (if applicable): If EV exists on multiple blockchains, the bridges connecting them are a critical vulnerability. An exploit of a bridge protocol could lead to de-pegging or unrecoverable losses.
  • Scalability Risk: The underlying technology may not scale effectively to handle a high volume of users or transactions, leading to slow performance and high fees, which would deter adoption.
I.6Mitigation measures

RA2 Tech SA has implemented several measures to mitigate the identified risks:

  • Security Audits: Commissioning comprehensive security audits of all smart contract code from reputable, independent third-party security firms before deployment.
  • Bug Bounty Program: Operating an active bug bounty program to incentivize ethical hackers and security researchers to discover and responsibly report vulnerabilities.
  • Regulatory Monitoring: Actively monitoring the global regulatory landscape with the assistance of external legal counsel to ensure compliance with applicable laws.
  • Use of Reputable Technology: Building on a secure and battle-tested DLT (like Ethereum) to leverage its established consensus mechanism and security.
  • Decentralized Governance: Implementing a decentralized governance framework to distribute decision-making and align stakeholder incentives for the long-term health of the protocol.
  • Strategic Partnerships: Strategic partnerships and exchange listings are pursued to improve liquidity and operational resilience.

S.4Consensus mechanism

The Ethereum network, which EV relies on, operates using a Proof-of-Stake consensus mechanism.

In this system, validators are chosen to create new blocks and validate transactions based on the amount of native tokens (ETH) they have staked as collateral.

S.5Incentive mechanisms and applicable fees

The Liquidity providers and users who stake EV are rewarded with economic incentives for their participation. These incentives consist of EV tokens. Some fees are applicable to the use of the ecosystem that are collected for the benefit of these mechanisms. The fee's percentages are decided by the DAO.
