Summary
08 Characteristics of the crypto-asset

The $LAPTOP token is a meme token issued on the Base blockchain as an ERC-20 token. Under MiCAR, it is classified as a crypto-asset other than an asset-referenced token or e-money token. $LAPTOP acts solely as a digital collectible and does not confer any inherent rights, utility, or obligations upon the purchaser. Because there are no inherent rights attached to the token, there are no specific procedures or conditions for exercising them, aside from the standard ability to hold, store, and transfer the token using compatible digital wallets or trading platforms. Token holders do not possess governance or veto rights.

09 Further information about utility tokens

The $LAPTOP token is a community token of the Hunter Biden’s Laptop project, designed to bring holders together and fuel community activity. As a meme token, $LAPTOP is not classified as a utility token and does not grant access to any specific goods or services, nor does it have any inherent rights or obligations beyond its existence as a digital representation of value. Its functionality is strictly limited to standard ERC-20 features, allowing it to be freely transferred and stored on the Base blockchain. While there are no protocol-level restrictions on the transferability of $LAPTOP, a portion of the token supply allocated to the Founders and Events is subject to contractual lock-ups of 6 and 12 months, followed by linear monthly vesting schedules of 24 months each, respectively. Additionally, transferability and access may be restricted by individual trading platforms, which can impose limitations such as geo-fencing for users located in OFAC-sanctioned jurisdictions or to comply with other applicable laws.

10 Key information about the offer to the public or admission to trading

No offer of $LAPTOP tokens is being made to the public for fundraising purposes in connection with this disclosure. This initiative represents an admission to trading rather than a public token sale; accordingly, there is no raising of funds, and no target subscription goals, issue price, or subscription periods are applicable. Furthermore, no crypto-asset service provider has been appointed to place the token on a firm commitment or best-effort basis. Admission to trading for $LAPTOP is being sought on Coinbase, Bybit Europe, Bitpanda, Bitvavo, and Kraken. This admission aims to increase token accessibility for European users, enhance transparency and regulatory compliance under the MiCA framework, and improve market liquidity to support the ongoing growth of the project. Users will be able to access $LAPTOP via these trading platforms, which will enforce their own registration processes, terms of service, and geo-fencing restrictions.

Second, the 30% of total supply allocated to events unlocks under a 12-month cliff and a subsequent 24-month linear monthly vesting schedule; per-event tokens are burned where the relevant binary outcome milestone is achieved within the set timeframe, and reallocated for donation to charity where it is not.

Part H - Information on the underlying technology

No. Field Content
H.1Distributed ledger technology (DLT)
N/A, a Digital Token Identifier is provided in F.13
H.2Protocols and technical standards

$LAPTOP is an ERC-20 token. This standard ensures industry compatibility with wallets, exchanges, and smart contracts. The Base network itself is Ethereum layer 2 that utilizes optimistic rollups for its operations.

H.3Technology used

As an ERC-20 token, $LAPTOP is deployed as a smart contract. Users can hold, store, and transfer the token using any wallet software (non-custodial or self-custody) that is compatible with the Base network. Users may also manage the token through accounts provided by third-party custodians or centralized exchanges.

H.4Consensus mechanism

The Base network, which $LAPTOP relies on, is an optimistic rollup that settles to ethereum which uses a proof-of-stake consensus mechanism.

In the proof-of-stake system, validators are chosen to propose and verify new blocks based on the amount of ETH they have staked as collateral.

H.5Incentive mechanisms and applicable fees

The validators who secure the network are rewarded with economic incentives for their work. These incentives consist of newly issued ETH and transaction fees paid by users.

H.9Audit outcome

A security audit was successfully completed by auditing firm Hacken. The audit reviewed the smart contract for the LaptopOFT on the Base blockchain, a LayerZero-based Omnichain Fungible Token (OFT) implementation designed to enable cross-chain transfers of $LAPTOP through a burn-and-mint mechanism. The outcome was that four total findings (one Low severity and three Informational) were identified during the assessment, all of which were successfully fixed by the development team prior to the final report issuance on April 23, 2026. The audit confirmed the smart contract maintains a fixed global supply of 1,000,000,000 tokens initially minted on the Base chain.

Part I - Information on risks

No. Field Content
I.1Offer-related risks

The admission of $LAPTOP to trading on third-party platforms involves specific risks for holders:

·       Third-Party Platform Risk: Holders are subject to the terms and conditions of the trading platforms. The platform's operational disruptions (e.g., outages, cyberattacks) or a decision to delist $LAPTOP (due to low liquidity, regulatory pressure, or internal policy) could severely impact the token's accessibility and liquidity.

·       Platform Insolvency Risk: If a trading platform holding a user's $LAPTOP tokens becomes insolvent or bankrupt, users risk the partial or total loss of those assets.

·       Regulatory Risk (Platforms): Crypto-asset service providers are subject to evolving regulations. New rules could force platforms to halt trading, restrict access for users from certain jurisdictions, or delist $LAPTOP.

I.2Issuer-related risks
  • Insolvency: Phoenix Veritas Ventures Ltd may become insolvent through lack of funding, loss of key personnel, or absence of commercial success, which could end all activity connected to $LAPTOP.

  • Treasury: The Phoenix Veritas Foundation controls the event allocation and Foundation Treasury and determines whether event milestones are achieved. The Holders shall bear the risk that allocation and milestone decisions are made at the entity's discretion, whereas the Holders may be in disagreement with such decisions.

  • Concentration / supply overhang: A significant share of supply sits in Founders and Events allocations subject to lock-up and vesting. Their release or sale could exert substantial downward pressure on price.

  • Reputational / association: The project is built around a politically charged reference to Hunter Biden, who is also a co-founder. Negative publicity, political controversy, or objection by referenced parties could trigger delistings or sharply reduce value of the collectible.

  • Legal & regulatory compliance: Issuer non-compliance with evolving crypto regulation could result in enforcement, penalties, litigation, or trading restrictions.

I.3Crypto-assets-related risks

Holding $LAPTOP involves risks inherent to most crypto-assets:

  • Market Volatility: Crypto-asset prices are extremely volatile and subject to significant, rapid fluctuations. The value of $LAPTOP can be influenced by market speculation, shifts in sentiment, and macroeconomic factors. There is no guaranteed price floor, buyback or redeemability mechanism, which means that acquiring the $LAPTOP may result in total loss of the purchase price.

  • Liquidity Risk: The market for $LAPTOP may lack depth and liquidity. It may be difficult to buy or sell large quantities at a desired price, or at all, leading to significant financial losses.

  • Custody & Private Key Risk: Holders are responsible for securing the private keys to their wallets. The loss, theft, or compromise of these keys will result in the irreversible loss of all associated $LAPTOP tokens, with no recourse.

  • Regulatory Risk: The legal and regulatory treatment of crypto-assets is uncertain and evolving. Future regulations could impose restrictions on the holding, use, or trading of $LAPTOP, or it could be classified in a way that adversely affects its value or legality.

  • Meme token risk: The token is a meme token with no inherent utility or value and no committed roadmap. There is no current plan to develop it further. The token should be considered “as is,” and purchasers should hold no expectation of further development of any kind. The token's value is driven solely by market sentiment and may fall to zero.

I.4Project implementation-related risks

The future success of Hunter Biden’s Laptop project is subject to significant implementation risks:

  • No intrinsic value / purely speculative: $LAPTOP has no inherent utility or value, cash flow, or underlying asset. Its price is driven entirely by speculation and meme-culture sentiment, is unsupported by any fundamentals, and may fall to zero.

  • Dependence on community interest: Value depends on the meme's continued popularity. Waning attention, shifting internet trends, or adverse sentiment could permanently reduce value.

  • Memecoin sector risk: Memecoins are a high-risk class; historically the majority have produced significant or total losses for holders, and some have primarily benefited early insiders at the expense of later purchasers.

  • Market-abuse susceptibility: Assets with low market capitalisation and few venues are especially exposed to pump-and-dump, spoofing, and front-running, which could cause total loss.

I.5Technology-related risks

$LAPTOP relies on complex, emerging technology, which introduces specific risks:

  • Smart Contract Risk: The smart contracts for $LAPTOP, despite audits, may contain hidden bugs, flaws, or vulnerabilities. Such flaws could be exploited by malicious actors, potentially resulting in the theft or irreversible loss of funds.

  • Underlying DLT Risk: The project relies on the security and performance of the underlying Base network. This network is subject to its own risks, such as network congestion, high transaction fees, consensus failures (e.g., 51% attacks), forks, or operational halts. Execution of transactions requires gas fees, which are subject to market conditions and may fluctuate during periods of high activity. Users who interact with $LAPTOP via decentralized exchanges (DEXs) may face exposure to front-running or Maximal Extractable Value (MEV), where third parties reorder or insert transactions for their advantage.

  • Cybersecurity Risk: The front-end applications are a target for cyber-attacks (e.g., DDoS attacks, hacks). A successful attack could disrupt services or lead to a loss of user assets.

  • Scalability Risk: The underlying technology may not scale effectively to handle a high volume of users or transactions, leading to slow performance and high fees, which would deter adoption.

I.6Mitigation measures

Phoenix Veritas Ventures Ltd has implemented several measures to mitigate the identified risks:

  • Security Audits: Commissioning comprehensive security audits of all smart contract code from reputable, independent third-party security firms before deployment.

  • Use of Reputable Technology: Building on a secure and battle-tested DLT (like Base) to leverage its established consensus mechanism and security.

S.4Consensus mechanism

The Base network, which $LAPTOP relies on, operates using a proof-of-stake consensus mechanism.

In this system, validators are chosen to propose and verify new blocks based on the amount of ETH they have staked as collateral.

S.5Incentive mechanisms and applicable fees

The validators who secure the network are rewarded with economic incentives for their work. These incentives consist of newly issued ETH and transaction fees paid by users.
