This is the first full quarter in which Waters consolidates the acquired Biosciences and Diagnostic Solutions ("BDS") businesses of Becton Dickinson, which closed on February 9, 2026. Q1 only captured a ~7-week "owned period" stub, so Q2 is the first clean read on the combined company's revenue base, margin structure, and — most importantly — whether the early momentum in the acquired businesses is real and sustainable. The story going into the print is less about the legacy instrument franchise (which is executing well) and more about integration proof points and the EPS bridge as interest costs and a larger share count weigh on the P&L before synergies flow.
Off the back of a strong Q1, management set the following Q2 2026 targets:
| Metric | Q2 2026 Guidance |
|---|---|
| Organic constant-currency revenue growth | 6.0% – 8.0% |
| Organic reported revenue (incl. ~0.5% FX headwind) | $814M – $829M |
| Acquired (BDS) reported revenue | ~$802M (~2.5% reported growth) |
| Total reported revenue | $1.616B – $1.631B |
| Adjusted EPS | $2.95 – $3.05 (flat to +3.4% YoY) |
The most important nuance: adjusted EPS is guided roughly flat year-over-year despite strong top-line growth. That's because Q2 carries the full burden of higher interest expense (~$186M annualized) and newly issued shares (diluted share count jumped to ~82M from ~60M), while the cost synergies and business-level cost actions don't begin hitting the P&L until Q3. Don't misread flattish EPS as a stumble — it's structural timing.
Importantly, management deliberately de-risked the second half: implied H2 legacy organic growth is only ~6% (vs. ~9% in H1), and acquired-business H2 assumptions were set just ~1.5pts above the Q2 guide. So the bar for a beat-and-maintain (or beat-and-raise) into H2 is intentionally low — watch how they frame it.
This is the crux. In Q1, the acquired businesses beat guidance by $40M and showed a sharp sequential improvement on a full-quarter pro forma basis: - Biosciences: –1% pro forma (vs. –10% in Q4'25); +4% ex-China. - Diagnostic Solutions: +1% pro forma (vs. high-single-digit decline in Q4'25); +6% ex-respiratory.
Management's "180-day plan" (funnel rigor, doubled call activity, pricing deal desks, reagent-rental contract compliance, China localization) is the engine. In Q2, investors will want confirmation these businesses are turning outright positive, aided by an easier comp, the disappearance of the ~$20M respiratory/flu headwind, and China DRG headwinds beginning to annualize.
The Analytical Sciences engine is running hot — Q1 organic was +11% CC (a 200bp beat), though ~4 extra selling days added roughly 2pts to total legacy growth. Key threads: - Chemistry grew +13% in Q1 but FY guide is only ~6.5% (tough comps + Q2'25 pull-forward). Expect a deceleration here — the question is how much. - Instrument replacement cycle (LC-MS high-single-digit) — management sees a runway through 2027 with a "reshoring bridge" into 2028. Watch for any softening in order trends (orders outpaced sales in Q1). - Pharma (+14%, with China +50%) and academic & government (+18%) were standouts — sustainability is key given macro/funding uncertainty in US academic markets.
Q1 adjusted operating margin was 23.6% (~200bp beat), achieved before any synergy benefit. The $55M cost-synergy target for 2026 plus restructuring/business realignment begin hitting the P&L in Q3. Q2 will be the margin trough on a combined basis — look for management to reaffirm the path to ~28.2% FY EBIT margin and the "100bp+ annual margin expansion through the decade" algorithm.
Management flagged elevated freight, raw material and component costs tied to Middle East conflict but claims full mitigation for the balance of the year. With oil-driven inflation and geopolitical disruption prominent in the current macro tape, confirmation that these costs remain offset is worth monitoring, alongside tariff dynamics.
Waters heads into Q2 with legacy momentum intact and early evidence that the BD integration is tracking ahead of plan. The key tension: reported EPS growth will look muted (flat YoY) due to financing and dilution timing, so the market's focus should be on (a) the acquired-business inflection to positive growth, (b) chemistry/instrument order durability, and (c) whether management raises the full year again as the "not-in-guidance" upside levers materialize. A clean quarter that de-risks the back half — plus the Q3 arrival of cost synergies — would reinforce the multi-year mid-teens EPS growth algorithm management is pitching.
