Extensive subject files document the finances and operations of branch lines and other subsidiaries, the Northern Pacific Railroad's receivership and reorganization (1893-1897), and the valuation of all corporate physical property ordered in 1917, as well as many other subjects relating to the management of the corporation. Full runs of basic accounting records document in detail the company's financial history. Annual reports to the Interstate Commerce Commission [ICC] and state regulatory agencies contain much statistical and financial data on company assets and operations. A variety of miscellaneous files include land records, equipment records, payroll records, and contract and lease records.

Subject files relating to the monetary valuation of the physical properties owned by Northern Pacific and its branch lines and subsidiaries, including lands, trackage, rolling stock, bridges, buildings, and equipment. The files contain much information on the financing and construction of branch lines. Bound copies (Volumes 1-11) of mortgages, leases, and trackage agreements entered into by Northern Pacific and its branch lines, 1872-1901, are also included.
Following the numbered files is a copy of the Revised Corporate History of Northern Pacific Railway Company as of June 30, 1917 (1921), prepared in response to ICC Valuation Order No. 20. This 470-page typescript, organized alphabetically by corporate entity, summarizes the acquisition and/or construction of physical properties of all the constituent lines comprising the Northern Pacific system. It also summarizes the operations of those components, the chain of title for each, the present legal status of the corporate unit, and the location of its official records.
Related Material: All of the record series created by the Valuation Engineer pertain to the monetary valuation of Northern Pacific physical property, as well as that of its branch lines and subsidiaries. There are close relationships between those series and the Assistant Auditor, Valuation subject files.

Expand/CollapseReorganization records: General lien and prior lien bonds, 1870-1970s

Following the second financial collapse of the Northern Pacific Railroad Company during the 1893 Depression, the company was reorganized by a committee of bondholders, and the management of the reorganization was assumed by J. P. Morgan & Company. The reorganized firm, known thenceforth as the Northern Pacific Railway Company, was officially established on August 31, 1896, via the acquisition and reorganization of the Superior and St. Croix Railroad Company, a Wisconsin corporation. In order to finance the new company, and to retire the debt inherited from the bankrupt predecessor and its branch lines, the Northern Pacific Railway issued two separate bonds on November 10, 1896: (1) a Prior Lien Mortgage (4 percent gold bonds) having a par value of $130 Million and due January 1, 1997. (2) a General Lien Mortgage (3 percent gold bonds) having a par value of $190 Million and due January 1, 2047. $130 Million of the general lien bonds could be used to retire the prior lien issue.
The first three boxes of records contain documents emanating directly from and documenting the 1896 corporate reorganization and the two bond issues. The remaining records are primarily concerned with later efforts by the Northern Pacific and the Burlington Northern to receive federal tax credits on post-1955 taxes for previously unclaimed discount costs and financing expenses ($28,290,435) stemming from the two mortgages. The unclaimed deductions became part of the Northern Pacific's Account 80: Other Elements of Investment. The records include working papers, accounting statistics, photocopied reorganization records, reports, and exhibits pertaining to Account 80 and the amortization of reorganization bond expenses.

White, MHS, with Nicoll, an employee of the Northern Pacific Passenger and Station Accounting Department.
