HISTORICAL NOTE
The St. Paul & Pacific Railroad Company (StP&P) was incorporated in 1862 by an act of the Minnesota state legislature to take over the properties, rights, and franchises of the Minnesota and Pacific Railroad Company. These rights included a land grant of approximately 3,250,000 acres and authority to construct a railroad line from Stillwater through St. Paul and St. Anthony to Breckenridge and a branch line from St. Anthony via Anoka, St. Cloud and Crow Wing to St. Vincent.
The First Division of the St. Paul & Pacific was created to administer construction of the lines; it issued its own stock and was administered separately from the parent company. In 1862, the company constructed the first railroad tracks in Minnesota, a line from St. Paul to St. Anthony. Line construction was partly financed by the Northern Pacific Railroad Company in the 1870s.
The Northern Pacific's financial problems of the 1870s forced it to dispose of its St. Paul & Pacific Railroad stock, eventually ending in receivership under Jesse P. Farley. In 1879, James J. Hill and associates acquired the railroad at foreclosure sales and transferred the properties to the St. Paul, Minneapolis and Manitoba Railway Company (StPM&M). In 1892, the St. Paul, Minneapolis and Manitoba Railway Company acquired the St. Paul & Pacific's remaining land holdings.
The company owned and operated the first steam locomotive in Minnesota, the famed William Crooks, which is preserved at the Lake Superior Railroad Museum in Duluth. The William Crooks was saved from scrapping and restored in the early years of the twentieth century at the personal insistence of Mr. Hill.

NEW YORK OFFICE SUBJECT FILES
The New York office subject files of the StP&P represent the correspondence files kept by John S. Kennedy and Company, financial advisors for the embattled railroad. Letters and reports received by Kennedy form the bulk of the files. Most concern the financial affairs of the company. Files relating to the Dutch bondholders committee and their involvement in the company are especially noteworthy. A few files concern construction and rolling stock. Major authors include Johan Carp, George W. Cass, Jesse P. Farley, James J. Hill, George L. Otis, Edmund Rice, George Rosenthal, George Stephen, Horace Thompson, and Lippman, Rosenthal & Company. In 1945, these files were sorted and annotated by the Great Northern Railway's Comptroller's Office. At that time the rough alphabetical sequence was imposed.
