Investment advisors usually charge fees and must follow a fiduciary rule that was established in the Investment Advisers Act of 1942. They can be licensed by the SEC as well as state securities regulators. The act is quite specific in what a Fiduciary means. It stipulates a duty and obligation of loyalty and caring, which means the advisor must prioritize their client's interests over their own.
Even if the board does an objective investigation of all options available, it is ultimately responsible for selecting the option that best serves both the business and shareholders.

The original proposal was made in 2010, and it was supposed to be implemented between April 10, 2017, & Jan. 1, 2018, respectively. The date was delayed to June 9, 2017 by President Trump. There was also a transition period for exemptions that ran through January 1, 2018.
The Department of Labor issued Proposal 3.00 in June 2020. It reintroduced the investment advice fiduciary standard in place since 1975, with new interpretations which extended its reach in rollover settings and provided a new exemption for principal transactions and conflicted investment advice.

The suitability standard is not a requirement that a broker-dealer must place client interests before their own. It only specifies that the broker has to be able to reasonably believe that any client recommendations are appropriate, in light of the client's unique financial and objective circumstances. It is important to note that a broker's primary duty to their employer is to the broker-dealer they work for, not their clients.
The duty of care refers to how the board makes decisions that impact the future of the business. The board must investigate all potential decisions and their impact on the business. The board should investigate all potential candidates if it votes to elect a CEO.
A common example for a principal/agent relationship which implies fiduciary duties is when shareholders vote to elect management or other C-suite personnel to act on their behalf. Investors can also be considered principals when it comes to selecting investment managers to manage assets.

Although "suitability" was the standard term for brokerage accounts or transactional accounts, the Department of Labor Fiduciary Rule proposed to make it more stringent for brokers. Anyone who managed retirement money and made solicitations for an IRA (or other tax-advantaged retirement funds) would be considered a fiduciary.
